These Terms of Service ("Terms") govern your access to and use of SimpleSOV, including the website located at https://www.simplesov.com and all related applications, services, and software (collectively, the "Service").

The Service is owned and operated by FieldFront Holdings LLC, a Wyoming limited liability company ("FieldFront," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to bind your company to these Terms.

You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Be responsible for all activity occurring under your account

Accounts created or accessed through automated means, scripts, bots, or similar methods are prohibited.

2. Subscription Plans and Free Trial

Free Trial

FieldFront may offer a time-limited free trial at its discretion. Trial accounts may include branding, feature limitations, or usage restrictions.

FieldFront reserves the right to modify, suspend, or discontinue trials at any time, including deletion of trial data after expiration.

Paid Subscriptions

Paid subscriptions are billed in advance on a recurring basis (monthly or annually).

Fees: All fees are non-refundable except as required by law.
Taxes: Fees exclude all applicable taxes. You are responsible for payment of all taxes unless otherwise stated.
Pricing Changes: We may change pricing or plan features with at least thirty (30) days' notice, provided via email or within the Service.
Non-Payment: Failure to pay may result in suspension or termination of access.

3. Permitted Use and Feedback License

You may use the Service solely for lawful business purposes related to construction billing, project management, and financial workflows.

You may not:

Reverse engineer, copy, or resell the Service
Use the Service for unlawful purposes
Attempt unauthorized access or interfere with Service operation
Use the Service to build or provide a competing product

Feedback License

If you provide feedback, ideas, or feature suggestions, you grant FieldFront a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Service without obligation or compensation.

4. User Content and Data

Ownership

You retain ownership of all data, documents, and information you upload ("User Content").

You grant FieldFront a limited, non-exclusive license to host, store, process, and display User Content solely to provide and improve the Service.

De-Identified Analytics

FieldFront may collect and use de-identified, aggregated data derived from Service usage for analytics, benchmarking, and internal improvement. This data will not identify you, your company, or your projects.

5. No Professional Advice; Final Responsibility

The Service provides software tools only. FieldFront does not provide legal, accounting, financial, tax, or compliance advice.

You acknowledge that:

Outputs rely on user-entered data
Automated calculations and validations may contain errors
You retain final responsibility for accuracy and approval of all schedules of values, pay applications, reports, and related documents

All outputs must be reviewed and approved by you or a qualified professional prior to submission or reliance.

FieldFront is not responsible for rejected submissions, delayed payments, or financial losses arising from Service use.

6. Intellectual Property

The Service, including all underlying software, workflows, visual design, trademarks, and documentation, is the exclusive property of FieldFront Holdings LLC.

You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service without express written permission. All rights not expressly granted are reserved.

7. Third-Party Services and Infrastructure

The Service relies on third-party infrastructure and integrations. FieldFront is not responsible for outages, data loss, service interruptions, or failures caused by third-party providers.

8. Account Suspension, Abuse, and Usage Limits

FieldFront may suspend or restrict access to the Service for:

Non-payment
Violations of these Terms
Security concerns or suspected abuse
Usage that materially degrades Service performance or impacts other users

Where reasonably possible, notice will be provided prior to suspension.

Any abusive, harassing, or threatening behavior toward FieldFront employees, contractors, or representatives may result in immediate termination without refund.

9. Cancellation and Data Export Grace Period

You are responsible for properly canceling your account through the Service.

Access remains active until the end of the current billing period.
Following termination, you will have a fifteen (15) day grace period to log in and export your data.
After the grace period, data may be permanently deleted from active systems and backups.
Deleted data cannot be recovered.

We strongly recommend exporting all project data before cancellation.

10. Force Majeure

FieldFront is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of war, labor disruptions, or third-party infrastructure outages.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

FIELD FRONT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND UNINTERRUPTED OPERATION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FIELD FRONT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION.

FIELD FRONT'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FIELD FRONT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless FieldFront Holdings LLC from any claims, damages, losses, or expenses arising from:

Your use of the Service
Your User Content
Your submission of billing or financial documents to third parties
Your violation of these Terms or applicable laws

14. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service may be resolved through binding arbitration. You waive any right to participate in a class action or representative proceeding.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

All disputes shall be resolved exclusively in state or federal courts located in Wyoming.

16. Assignment

You may not assign or transfer these Terms without prior written consent from FieldFront.

FieldFront may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

17. Modifications to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last Updated" date.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
